Terms and Conditions
PINC BIOSCIENCE – CUSTOMER-FRIENDLY TERMS & CONDITIONS SUMMARY
(This is a simplified overview. The Full Legal Terms & Conditions apply in all cases.)

1. Who We Are
PINC Innovations (Pty) Ltd, trading as PINC Bioscience, supplies research-grade scientific products and offers a concierge-style procurement service in partnership with trusted international suppliers, including NovoPro.
2. Placing an Order
When you place an order with us, you agree to our Terms & Conditions.
To process your order smoothly, we may require:
a purchase order number (if applicable),
your billing and contact details,
your delivery information,
your VAT number (if registered).
3. Payment
Orders are only processed after full payment clears in our bank account.
This applies to:
all standard customers,
all purchase orders,
all institutions,
all local and international items.
No payment = no supplier order and no dispatch.
Customers are responsible for bank fees and transfer charges.
4. Delivery Information
We ship with trusted couriers, mainly The Courier Guy.
Delivery times:
2–4 working days for major city centres
Longer for outlying or rural areas
Backorders:
Supplier stock on hand: about 5 working days before dispatch
Supplier restock required: about 10 working days before dispatch
Delivery times depend on courier schedules and may vary.
5. Inspecting Your Order
Please check your parcel as soon as it arrives.
Any issues (damage, missing items, wrong items) must be reported within 24 hours.
After 24 hours, items may be considered accepted and replacement may not be possible.
6. Returns and Exchanges
Standard PINC products
Returns are very limited and approved only at our discretion.
Some items cannot be returned at all (see below).
If a return is approved, it may include:
a 20% restocking fee, and
courier and handling costs.
NovoPro products
Because PINC is an authorised reseller, NovoPro’s policies apply.
For NovoPro items:
issues must be reported within 72 hours,
protocol details may be required,
replacements or refunds depend on NovoPro’s final decision, not ours.

Non-returnable items
temperature-sensitive products
items shipped in gel packs or dry ice
custom or special-order products
opened or improperly stored items
If we delivered the wrong item
Tell us immediately and keep the item sealed at the correct temperature until we provide instructions.
7. Product Documentation
For NovoPro-branded products, QC reports, MSDS/SDS documents, COAs, and purity data are available directly on the NovoPro website:

We can help you find them, but the documents are created and controlled by NovoPro.
8. Intended Use of Products
Products are sold for Internal Research Use Only, unless stated otherwise.
They are not intended for:
medical or diagnostic use,
therapeutic or clinical use,
in vivo use in humans or animals,
commercial production.
9. Liability
We do our best to ensure smooth service, but we are not responsible for:
courier delays,
supplier delays,
customs issues,
misuse or incorrect storage,
diagnostic or therapeutic use,
indirect or consequential damages.
If something goes wrong with a product, our liability is generally limited to:
replacement of the product, or
a refund of the purchase price.
10. Legal Stuff
These Terms follow South African law.
Any disputes will be handled by South African courts.
If part of the policy is invalid, the rest still applies.

1. Definitions
1.1 “PINC Bioscience”, “PINC”, “we”, “us”, “our” means PINC Innovations (Pty) Ltd, trading as PINC Bioscience, a private company incorporated in South Africa.
1.2 “Customer” means any individual, entity, or organisation that purchases Products or Services from PINC Bioscience.
1.3 “Order” means any request for Products or Services submitted by the Customer via the PINC Bioscience website, email, written communication, or any authorised ordering channel.
1.4 “Product(s)” means any item supplied or distributed by PINC Bioscience, including:
(a) products sourced directly through PINC;
(b) products obtained through PINC’s strategic international suppliers;
(c) NovoPro-branded products supplied through PINC as an authorised reseller.
1.5 “Service(s)” means any advisory, technical, procurement, coordination, or concierge support services provided by PINC.
1.6 “Concierge Support Service” means PINC’s enhanced procurement and support service, including technical liaison with suppliers, sourcing specialised items, and managing procurement processes.
1.7 “Internal Research Purposes” means in-vitro research conducted internally by the Customer. This expressly excludes Commercial Purposes.
1.8 “Commercial Purposes” means any use involving resale, manufacturing, therapeutic or diagnostic application, in vivo use, reverse engineering, or provision of services to third parties.
1.9 “Product Documentation” means Certificates of Analysis, QC reports, MSDS/SDS documents, peptide purity data, amino acid analysis, specifications, and related documentation. For NovoPro-branded products, documentation is available at https://www.novoprolabs.com/
2. Basis of Contract
2.1 Submission of an Order constitutes an irrevocable offer to purchase Products or Services subject to these Terms.
2.2 These Terms apply exclusively and supersede all other terms proposed or implied by the Customer unless expressly agreed in writing by a duly authorised representative of PINC.
2.3 PINC may amend these Terms at any time by publishing an updated version on its website. The Terms in effect at the time of Order submission shall apply.
2.4 A binding contract is formed only when PINC dispatches the Product.
2.5 Order confirmations will include delivery arrangements, applicable charges, estimated delivery timelines, and supplier-specific requirements, including those applicable to NovoPro products.
3. Supply of Products, Services and Concierge Support
3.1 Ordering Requirements
The Customer shall provide all information reasonably required to process an Order, including (where applicable):
(a) a valid Purchase Order number (unless pre-paid);
(b) billing and purchaser contact details;
(c) researcher or laboratory contact information;
(d) VAT registration number, if applicable.
3.2 Concierge Support Service
3.2.1 PINC shall provide its Concierge Support Service which may include:
(a) sourcing specialised scientific Products;
(b) coordinating procurement with international and local suppliers;
(c) liaising with NovoPro and other manufacturers;
(d) managing backorders, replenishment, and supply timelines;
(e) providing general procurement guidance.
3.2.2 This service does not constitute medical, clinical, therapeutic, or diagnostic advice. The Customer remains solely responsible for determining product suitability.
3.3 Shipping and Delivery
3.3.1 Products are shipped via reputable couriers, including The Courier Guy, subject to availability.
3.3.2 Estimated delivery times for in-stock Products:
(a) major centres: 2–4 working days;
(b) outlying areas: dependent on courier schedules.
3.3.3 Backorder timelines:
(a) supplier stock on hand: approximately 5 working days prior to dispatch;
(b) supplier replenishment required: approximately 10 working days prior to dispatch.
3.3.4 Delivery timelines are estimates only and not binding.
3.3.5 No Products shall be ordered from suppliers or dispatched until full payment has cleared in PINC’s designated bank account.
3.4 Risk and Ownership
3.4.1 Risk in the Product passes to the Customer when the courier marks the shipment as delivered.
3.4.2 Ownership of Products passes only once full payment is received in cleared funds.
3.5 Inspection of Goods
3.5.1 The Customer must inspect Products immediately upon delivery.
3.5.2 Any defect, damage, shortage, or incorrect item must be reported in writing within 24 hours of delivery.
3.5.3 Failure to report within 24 hours shall result in the Products being deemed accepted.
3.6 Returns and Replacements
3.6.1 Standard PINC Bioscience Products
3.6.1.1 PINC may assist the Customer with return requests, assessments, and potential replacements for Products sourced through its own procurement channels; however, such returns are highly unlikely and subject to the policies of the relevant supplier.
3.6.1.2 For Products governed by NovoPro’s terms, all returns and replacements follow NovoPro’s Return and Refund Policy:

3.6.1.3 PINC provides no guarantee of acceptance of any return, replacement, or refund unless expressly confirmed in writing.
3.6.2 NovoPro Products (Authorised Reseller Handling)
3.6.2.1 For NovoPro-branded Products:
(a) claims must be submitted within 72 hours of delivery;
(b) protocol or usage details must be provided;
(c) PINC will liaise with NovoPro on the Customer’s behalf;
(d) protocol-related issues will receive advisory assistance;
(e) product-related outcomes are strictly under NovoPro’s policies.
3.6.2.2 Evaluation timelines are controlled exclusively by NovoPro.
3.6.3 Incorrect Orders by Customer
3.6.3.1 PINC may, at its sole discretion, accept returns for incorrectly ordered Products subject to:
(a) a 20% restocking fee;
(b) all courier and handling costs payable by the Customer.
3.6.3.2 The following items are non-returnable:
(a) temperature-sensitive Products;
(b) Products requiring special shipping conditions (e.g., gel packs, dry ice);
(c) custom, modified, or special-order items.
3.6.4 Incorrect Items Delivered by PINC
3.6.4.1 The Customer must:
(a) notify PINC immediately;
(b) store the item per its datasheet (typically 2–8°C);
(c) wait for authorised return instructions.
3.6.4.2 Unauthorised returns will not be accepted.
3.7 Product Documentation (QC Reports, MSDS and Related Files)
3.7.1 For NovoPro products, QC reports, MSDS/SDS documents, COAs, purity data and related documentation are available directly at:

3.7.2 The Customer acknowledges that:
(a) PINC does not create or validate NovoPro documentation;
(b) documentation accuracy lies solely with NovoPro;
(c) PINC is not liable for reliance placed on such documentation.
3.7.3 Where documentation is required for regulatory or institutional purposes, it must be obtained directly from NovoPro.
3.7.4 PINC may assist the Customer in locating documentation but makes no warranties regarding completeness or suitability.
4. Pricing and Taxes
4.1 Prices exclude VAT.
4.2 Prices exclude shipping, courier costs, and customs charges.
4.3 Prices include reduced-cost sourcing benefits through PINC’s strategic supplier network.
4.4 Prices may change at any time prior to dispatch.
4.5 Where a price changes after Order placement but prior to dispatch, the Customer will be contacted for approval.
5. Payment Terms
5.1 Full payment must clear before any Products are ordered or dispatched.
5.2 For approved account customers (where confirmed in writing), invoices are payable within 30 days, but goods are still released only after payment clears.
5.3 All bank charges and transaction fees are payable by the Customer.
5.4 Late payments may incur interest and may be offset against credits or refunds.
5.5 Accepted payment methods: EFT, card (where available), approved purchase orders (still subject to clause 5.1).
6. Licence and Usage Limitations
6.1 All intellectual property rights remain vested in PINC, NovoPro, or their licensors.
6.2 Products are supplied strictly for Internal Research Purposes unless expressly stated otherwise.
6.3 No commercial-use licence is granted.
6.4 Extended rights require written authorisation.
7. Limitation of Liability
7.1 To the fullest extent permitted by law, PINC shall not be liable for indirect, incidental, consequential, punitive, special, or exemplary damages, including reliance on Product Documentation from third parties.
7.2 PINC shall not be liable for delays caused by couriers, suppliers, customs, weather, or external events.
7.3 PINC shall not be liable for:
(a) misuse or improper storage;
(b) diagnostic, therapeutic, clinical, or in vivo use;
(c) reliance on informal advice.
7.4 PINC’s total aggregate liability shall not exceed the purchase price of the Product in question.
8. Confidentiality
8.1 Both parties must maintain confidentiality of proprietary, technical, and commercial information.
8.2 Disclosure is permitted only where required by law or necessary for contractual performance.
9. General
9.1 The Customer must comply with all applicable South African laws regarding scientific Products.
9.2 These Terms are governed by South African law.
9.3 Each party submits to the exclusive jurisdiction of South African courts.
9.4 If a term is invalid, the remainder remains enforceable.
9.5 Failure to enforce rights does not constitute a waiver.
9.6 No third party has rights under these Terms unless expressly stated.
